Terms of Service

1. Who the service is for

1.1 J&T Solutions is a business service. It is not for consumers.

1.2 You confirm that the person who fills out a form or signs an agreement for your business has the authority to do so.

2. The service

2.1 We design and build custom software for your business, including AI systems and AI agents (a "build"). We can also support and improve a build each month after it launches, if you choose a support plan.

2.2 Every build has a written scope that we both sign: what we will build, the price, the payment milestones and an estimated timeline. If the scope conflicts with these terms, the scope wins.

2.3 Booking a call on this site is free and does not commit you to buy anything.

3. Changes to the scope

3.1 Work outside the signed scope is a change. We quote each change in writing, and start it only after you approve the quote.

3.2 A timeline is an estimate. It moves if the scope changes, or if we are waiting on access, information or feedback from you.

4. Fees and payment

4.1 Builds are priced on scope and invoiced as the scope sets out: a deposit before work starts, then the rest at the milestones in the scope.

4.2 A support plan is billed monthly, in advance.

4.3 Invoices are sent through our payment provider and are due when sent, unless the scope says otherwise.

4.4 Some builds use paid outside services, such as hosting, software licenses or AI usage. The scope says whether you pay these directly or we pass them on at cost.

4.5 If an invoice is more than 14 days late, we may pause work until it is paid. A pause can move the timeline.

5. Who owns the work

5.1 Once you have paid for a build in full, you own the custom software we built for you under its scope, including its code and designs, and we transfer our rights in it to you.

5.2 Until then, we own it. If a build stops before it is finished, the Cancellation Policy says what you get.

5.3 We keep our own tools, templates and know-how that existed before your build or that are not specific to it. Where any of them are part of your build, you get a permanent license to use them as part of it.

5.4 Open-source and outside components stay under their own licenses.

5.5 Your data stays yours. We use it only to build and support your system.

6. Your responsibilities

6.1 You give us the access, information and feedback the build needs, on time.

6.2 You are responsible for having the right to share the data you give us, and for the laws that apply to your business.

6.3 If a build will handle health information covered by HIPAA, tell us before work starts, so the scope and the agreement can cover it.

7. Security

7.1 We build with security in mind and test each build before it goes live, including a penetration test.

7.2 No system is perfectly secure. You are responsible for who you give access to, and for keeping your own passwords and devices safe.

8. Results

8.1 Savings and growth depend on your business, your team and how you use what we build. We do not promise any amount of time saved, cost cut or revenue.

9. Confidentiality

9.1 We keep your business information private and use it only to do the work. You do the same with our prices, methods and anything we mark as confidential.

10. Limits on liability

10.1 The site is provided as it is. To the fullest extent the law allows, neither of us is liable for indirect or lost-profit damages.

10.2 Our total liability for any claim is limited to the fees you paid us for the build or support plan the claim is about.

11. Changes and law

11.1 We may update these terms. The date at the top shows the latest version. An update to this page does not change a signed scope.

11.2 These terms are governed by the laws of the State of Delaware.
